1.1Acceptance of Terms

By accessing the Ousia website, connecting a wallet, minting, claiming, viewing tokens, using any interface, or otherwise interacting with Ousia through this website, you agree to these Terms & License.

If you do not agree to these Terms & License, do not use the website, connect a wallet, mint, claim, or interact with Ousia through this interface.

1.2Eligibility

You are responsible for determining whether you are legally permitted to use the website, connect a wallet, mint, claim, hold, transfer, or otherwise interact with Ousia in your jurisdiction.

By using the website, you represent that your use of Ousia is lawful where you are located and that you are not prohibited from doing so under any applicable law, regulation, restriction, or sanction.

1.3Ousia as an On-Chain Art Collection

Ousia is an on-chain generative art collection.

Ousia tokens are digital collectibles associated with generative artworks. They are not offered as financial products, securities, investment contracts, shares, debt instruments, managed assets, or claims on any company, treasury, revenue, or future proceeds.

1.4No Investment Advice or Profit Expectation

Nothing on the Ousia website, in the smart contracts, in project communications, or in any related material is financial, legal, tax, or investment advice.

Ousia does not promise profit, resale value, floor price, liquidity, appreciation, market performance, or any financial return. Any decision to mint, claim, buy, sell, hold, or transfer an Ousia token is made at your own risk.

1.5No Utility, Roadmap, or Future Benefits

Ousia is presented as an art collection.

Unless explicitly stated by the project, owning an Ousia token does not entitle you to future utility, airdrops, governance rights, revenue, access, membership, services, physical goods, events, or roadmap delivery.

Any future features, exhibitions, integrations, updates, or project activity may change, be delayed, or never occur.

1.6Minting Mechanics and Token Assignment

Ousia minting may involve commit/reveal mechanics, random token assignment, delayed reveal, round settlement, keeper activity, or direct contract interaction.

A mint or claim request may not immediately display a final token ID or artwork. Assignment and reveal may require additional on-chain steps. Some of these steps may be permissionless and may be executed by the project, by a keeper, by another user, or directly by you through the contract.

1.7Blockchain Finality

Blockchain transactions are final once confirmed.

The Ousia project cannot reverse, cancel, or undo confirmed blockchain transactions. You are responsible for reviewing wallet prompts, transaction details, network selection, gas settings, payment amounts, and contract interactions before signing.

1.8Prices, Gas, and Payments

You are responsible for all costs associated with your transactions, including mint price, gas fees, failed transaction costs, token approvals, wallet actions, and network fees.

Gas prices, network congestion, wallet behavior, token balances, token approvals, and transaction execution are outside Ousia’s control.

Where Ousia accepts payment in ETH, CIG, or any other token, you are responsible for understanding the token used, the amount paid, and any risks associated with that payment.

Secondary marketplace sales may be subject to creator royalties where supported or enforced by marketplaces, contracts, or third-party platforms. Royalty settings may change over time.

1.9No Refunds

Mints, claims, and other on-chain transactions are final and non-refundable, except where a refund is explicitly required by applicable law or explicitly offered by Ousia in writing.

Failed expectations regarding market price, rarity, resale value, token assignment, reveal timing, gas cost, payment token value, or third-party display are not grounds for a refund.

1.10Wallet, Network, RPC, and Marketplace Risks

You are responsible for the security of your wallet, private keys, seed phrase, devices, and any approvals or signatures you make.

You also accept the risks of interacting with smart contracts, including bugs, vulnerabilities, unexpected behavior, transaction failures, network forks, blockhash availability, and other on-chain execution risks.

Ousia is not responsible for losses, delays, display errors, failed transactions, or other issues caused by wallets, RPC providers, Ethereum network conditions, gas markets, browsers, devices, marketplaces, indexers, block explorers, or other third-party services.

Marketplaces and third-party platforms may display metadata, images, animations, ownership, traits, collection information, or token status incorrectly or with delay.

1.11Taxes and Compliance

You are responsible for any taxes, reporting obligations, legal obligations, or compliance requirements that may apply to your use of Ousia, including minting, claiming, buying, selling, transferring, or commercially using an Ousia artwork.

Ousia does not provide tax, accounting, legal, or financial advice.

1.12Website as Interface

The Ousia website is an interface for viewing and interacting with the collection.

Where artwork, metadata, settings, and rendering logic are stored on-chain, the on-chain contract data is the source of truth. The website may change, become unavailable, display information differently, or be replaced by other interfaces.

1.13Availability and Changes

The website, interface, metadata display, previews, animations, or related services may be updated, interrupted, degraded, removed, or unavailable at any time.

Ousia may update the website, documentation, interface, or these Terms & License. Such updates do not change immutable token-level metadata already stored or generated on-chain, where applicable.

1.14Limitation of Liability

To the maximum extent permitted by applicable law, Ousia and its creators, contributors, developers, operators, and related participants are not liable for any indirect, incidental, consequential, special, punitive, economic, or other losses arising from use of the website, contracts, tokens, artworks, wallets, marketplaces, or third-party services.

You use Ousia at your own risk.

1.15Changes to These Terms

These Terms & License may be updated from time to time. The latest version will be posted on this page with an updated date and version number.

Continued use of the website or interaction with Ousia after changes are posted means you accept the updated Terms & License.

2.1Token Ownership

Owning an Ousia token means owning the token recorded on-chain.

Token ownership does not automatically transfer copyright, trademark rights, brand rights, contract rights, source code rights, or any other intellectual property rights except as expressly described in this section.

2.2License Grant to Token Owner

While you own an Ousia token, Ousia grants you a worldwide, non-exclusive license to use, display, share, reproduce, and commercially use the specific Ousia artwork associated with that token, subject to these Terms & License.

This license applies only to the Ousia artwork associated with the Ousia token you own.

For clarity, this license covers the Ousia artwork associated with your token. It does not grant rights to any CryptoPunk image, source Punk sprite, CryptoPunks name, logo, trademark, or other third-party material that may be displayed as contextual reference through Ousia display settings.

2.3Permitted Uses

While you own the token, you may use the associated Ousia artwork for personal and commercial purposes, including:

• displaying the artwork;
• sharing it online;
• using it as a profile picture, avatar, header, or visual identity;
• printing it for personal or commercial use;
• creating merchandise using that specific artwork;
• displaying it in galleries, exhibitions, media, publications, or other contexts;
• using it in connection with your own projects, provided you do not imply false affiliation, endorsement, or sponsorship by Ousia.

If your use includes the source Punk sprite displayed through the Show Punk setting, you are responsible for determining whether you have the necessary rights for that use.

2.4Commercial Use

Commercial use is permitted for the specific Ousia artwork associated with your token.

This permission does not extend to the Ousia name, logo, website design, collection identity, smart contract code, renderer code, source code, metadata system, or any artwork associated with tokens you do not own.

2.5License Duration and Transfer

The license applies only while you own the Ousia token.

If you transfer, sell, burn, or otherwise cease to own the token, your license to use the associated Ousia artwork ends, except for uses already completed before transfer that cannot reasonably be withdrawn, such as previously distributed physical goods or previously published materials.

When ownership of the token transfers, the license passes to the new owner.

2.6Project Reserved Rights

Ousia retains the right to display, reproduce, publish, archive, and use any Ousia artwork for project-related purposes, including the website, gallery, token pages, marketplace previews, social media, documentation, exhibitions, press, research, archival records, and other project materials.

These reserved rights allow the project to present and preserve the collection as a whole.

These reserved rights do not claim ownership of CryptoPunks artwork, names, logos, trademarks, brand assets, source Punk sprites, or any other third-party intellectual property.

2.7Ousia Brand Not Included

Owning an Ousia token does not grant you rights to the Ousia name, logo, wordmark, symbols, website design, visual identity, brand system, domain names, social accounts, or project materials.

You may not use the Ousia brand in a way that suggests you are Ousia, represent Ousia, are officially endorsed by Ousia, or are operating an official Ousia product, service, collection, or account.

2.8Code, Renderer, and Public Data

Owning an Ousia token does not give you exclusive ownership of the Ousia smart contracts, renderer, scripts, website code, generation system, metadata system, or collection infrastructure.

Some Ousia code, contract interfaces, rendering methods, and on-chain data may be public, readable, reusable, or available under separate licenses or public access conditions. Where Ousia makes code or data publicly available, you may use it according to the applicable license, contract interface, or stated terms.

Public contract functions, including functions that return palette data, pixel counts, token metadata, settings, or rendered HTML, are intentionally available for public reading and use.

Nothing in this license prevents users, developers, collectors, researchers, or other projects from reading Ousia contract data, studying the mechanics, building independent tools, or creating their own projects using ideas, techniques, or publicly accessible information from Ousia.

However, you may not use Ousia code, data, names, branding, or presentation in a way that falsely suggests that your project is Ousia, is endorsed by Ousia, or is an official Ousia product.

2.9Collection-Wide Rights Not Included

Owning one Ousia token does not grant ownership of the full Ousia collection or of artworks associated with other tokens.

You may read and reference public on-chain data exposed by the Ousia contracts. You may also build independent tools, analyses, visualizations, or interfaces using publicly available Ousia data.

However, token ownership does not give you the right to claim ownership over the Ousia collection as a whole, present yourself as the official Ousia project, use the Ousia brand without permission, or commercially represent the collection in a way that falsely implies affiliation, sponsorship, endorsement, or control.

2.10Prohibited Uses

You may not use an Ousia artwork in a way that:

• violates applicable law;
• falsely implies affiliation, sponsorship, approval, or endorsement by Ousia;
• uses the Ousia brand without permission;
• claims rights in CryptoPunks artwork, names, logos, trademarks, or brand assets;
• suggests that Ousia is affiliated with CryptoPunks or any third-party rights holder;
• falsely presents your project, product, tool, dataset, interface, or derivative system as official Ousia;
• uses artwork from Ousia tokens you do not own.

2.11No Rights to Third-Party IP

The license granted here covers only the Ousia artwork associated with the Ousia token you own.

It does not grant any rights to CryptoPunks artwork, CryptoPunks names, CryptoPunks logos, CryptoPunks trademarks, Larva Labs materials, Yuga Labs materials, The Infinite Node Foundation materials, or any other third-party intellectual property.

2.12No CC0 Dedication

Ousia artworks are not released under CC0 unless Ousia explicitly states otherwise.

Ownership of an Ousia token grants the owner a license to use the associated artwork as described in these Terms & License. It does not place the artwork, the collection, the brand, the code, or the system into the public domain.

3.1Public On-Chain Source Data

Each Ousia artwork is rooted in the palette and pixel count of a CryptoPunk.

Ousia uses public on-chain data associated with CryptoPunks, including token IDs, color palettes, pixel counts, and, where displayed, source sprite data available from Ethereum contracts.

This data is used as source material for the Ousia artwork system.

3.2Separate Generative Artwork

Ousia transforms Punk-derived palette and pixel-count data into a separate generative artwork system with its own visual form, metadata, rendering logic, and on-chain structure.

The generative Ousia artwork is not the CryptoPunk image itself.

3.3Source Punk Display

Ousia may show the source CryptoPunk sprite in the corner of the canvas in the live artwork, token pages, owner-controlled display settings, or interactive site demonstrations.

This sprite is retrieved from public on-chain CryptoPunks data and is displayed as a contextual reference to the source data from which the Ousia artwork is derived.

The source Punk display may be enabled by default in some contexts. Where owner controls apply, it can be disabled by the token owner through Ousia’s on-chain display settings.

The source Punk sprite may include third-party intellectual property. Ousia does not claim ownership of CryptoPunks artwork, names, logos, trademarks, brand assets, or source Punk sprites.

Displaying the source Punk sprite does not grant Ousia token owners any rights in the source CryptoPunk image. Any use of the source Punk sprite outside the Ousia display context is the user’s responsibility.

3.4Descriptive References

References to CryptoPunks, CryptoPunk token numbers, Punk palettes, Punk pixel counts, or source Punk data are descriptive and nominative.

They are used to identify the public on-chain source data associated with each Ousia artwork.

They are not used to suggest official status, sponsorship, endorsement, approval, partnership, or affiliation.

3.5Independent Project

Ousia is an independent project.

Ousia is not affiliated with, endorsed by, sponsored by, approved by, or officially connected to CryptoPunks, Larva Labs, Yuga Labs, The Infinite Node Foundation (NODE), or any current or future rights holder associated with CryptoPunks.

3.6No Rights Granted in CryptoPunks IP

Minting, owning, viewing, or transferring an Ousia token does not grant you any rights in CryptoPunks artwork, CryptoPunks names, CryptoPunks logos, CryptoPunks trademarks, Larva Labs materials, Yuga Labs materials, The Infinite Node Foundation (NODE) materials, or any other third-party intellectual property.

Any rights you may have in a CryptoPunk or related asset must come from the applicable CryptoPunks terms, the applicable third-party rights holder, or other relevant third-party rights documents, not from Ousia.

3.7No Official Relationship

Ousia should not be described as an official CryptoPunks project, an official derivative, an official extension, or an official collaboration.

Ousia is a separate on-chain generative art project that uses public on-chain Punk-derived data as source material while maintaining its own artwork system, contract, metadata, rendering logic, and presentation.

3.8No Trademark or Brand License

Nothing in these Terms & License grants permission to use CryptoPunks names, logos, trademarks, brand assets, or related third-party marks except for descriptive references to the public on-chain source data associated with Ousia artworks.

You may not use Ousia, an Ousia token, or an Ousia artwork to imply that you are licensed by, endorsed by, affiliated with, or officially connected to CryptoPunks or any CryptoPunks rights holder.

Ousia does not use analytics, advertising trackers, tracking pixels, or marketing cookies, and does not intentionally collect or store email addresses or off-chain user profiles.

When you use the website, connect a wallet, view token pages, view profile pages, or interact with the mint interface, technical information may be processed by third-party infrastructure providers such as hosting/CDN providers, RPC providers, wallets, block explorers, and marketplaces. This may include IP addresses, browser and network information, requested URLs, public wallet addresses, and public blockchain transaction data.

Wallet addresses and transaction data are public blockchain information. Profile pages may include a wallet address in the URL. Ousia uses this information only to operate the website, display public on-chain data, provide token and profile pages, and allow interaction with Ethereum contracts. Ousia does not sell user data.

5.1No Warranties

Ousia, the website, interfaces, smart contracts, metadata, previews, animations, token pages, profile pages, owner controls, minting, claiming, reveal mechanics, and related project materials are provided “as is” and “as available.”

To the maximum extent permitted by applicable law, Ousia makes no warranties of any kind, whether express, implied, statutory, or otherwise. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, compatibility, uninterrupted access, error-free operation, or absence of defects, vulnerabilities, or harmful components.

Ousia does not warrant that the website, contracts, rendering logic, metadata, previews, animations, wallets, RPC providers, marketplaces, block explorers, browsers, devices, or other third-party services will operate without errors, delays, interruptions, inaccuracies, or unexpected behavior.

5.2Severability

If any provision of these Terms & License is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid, illegal, or unenforceable provision will be interpreted, modified, or limited to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.

5.3No Waiver

Ousia’s failure or delay in enforcing any provision of these Terms & License does not waive the right to enforce that provision later.

A waiver of one breach or provision does not operate as a waiver of any other breach or provision.
